How dividends are decided
The Company's Dividend Policy was approved by the Board on 22 May 2026 (Board decision No. VP2026-06.001) and took effect on 1 June 2026. Under the Policy, the Board proposes to allocate at least 10% of the Company's consolidated net profit for the previous financial year to dividends, and submits a recommended profit (loss) distribution project to the General Meeting of Shareholders. The decision on the amount and payment of dividends is taken by the General Meeting of Shareholders.
- Dividends allocated by the General Meeting become an obligation of the Company to its shareholders, who may claim them as creditors.
- Dividends must be paid within one month of the allocation decision, unless shareholders decide otherwise. Advance dividend payments are prohibited.
- Dividends cannot be allocated if, after payment, the Company's equity-to-capital-adequacy ratio would fall below 1.25, or in other cases set out in the Lithuanian Law on Companies.
- Dividends are paid in cash through securities account managers, and taxed in accordance with Lithuanian law.
- The Policy is approved and amended by the Board, and the Company's Chief Executive Officer is responsible for its implementation.
The Policy is prepared in Lithuanian and English; in case of any discrepancy, the Lithuanian text prevails.

For the 2025 financial year, the record date was 15 April 2026 and the ex-dividend date was 14 April 2026. Dividends were paid on 22 April 2026 to shareholders' securities accounts through the Nasdaq CSD SE Lithuanian branch, after deduction of applicable Lithuanian personal or corporate income tax.
